Summary: By using DAP's services or website, you agree to these terms. We provide logistics, sourcing, and fulfilment services. You are responsible for providing accurate information and paying agreed fees on time.

1. Acceptance of terms

By accessing DAP's website or engaging our services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a business, you represent that you have authority to bind that business.

These terms apply to all services provided by DAP including China sourcing, warehousing and quality control, international logistics, Bangladesh expansion, and Sri Lanka expansion services.

2. Services

DAP provides the following categories of services, subject to separate service agreements and agreed rate cards:

  • China Sourcing: Factory identification, supplier verification, price negotiation, sample procurement, and manufacturing coordination
  • Warehousing & QC: Cargo receiving, quality inspection, product photography, consolidation, and repacking at our Guangzhou facility
  • International Logistics: Air and sea freight across China-Pakistan, China-Bangladesh, China-Sri Lanka, China-UAE, and Pakistan-Bangladesh corridors
  • Bangladesh Expansion: 3PL fulfilment, COD collection in BDT, PKR remittance, and optional growth services
  • Sri Lanka Expansion: Cross-border fulfilment and local operations support

Specific service terms, pricing, timelines, and deliverables are agreed in writing between DAP and the client prior to service commencement.

3. Client obligations

As a client of DAP, you agree to:

  • Provide accurate, complete, and timely information required to deliver services
  • Ensure all products shipped through DAP's infrastructure comply with applicable laws and regulations in origin and destination countries
  • Not ship prohibited, illegal, counterfeit, hazardous, or restricted goods through DAP's network
  • Respond promptly to DAP's requests for approvals, confirmations, or additional information
  • Pay all agreed fees within the timeframes specified in your service agreement
  • Maintain accurate and current contact information for operational communications

DAP reserves the right to suspend or terminate services for clients who breach these obligations, without liability for resulting losses.

4. Payment terms

Payment terms are agreed individually for each client engagement. General terms applicable across all services:

  • All prices are quoted in USD or PKR as agreed. Bangladesh COD settlements are remitted in PKR.
  • Invoices are payable within the timeframe specified in your service agreement
  • Late payments may result in suspension of services until outstanding balances are cleared
  • The 2% cash handling margin on Bangladesh COD collections is deducted from remittances automatically
  • Freight rates are subject to change based on fuel surcharges, carrier rate adjustments, and market conditions

DAP is not responsible for currency exchange rate fluctuations between the time of collection and remittance.

5. Limitation of liability

DAP's liability to any client is limited to the value of fees paid by that client for the specific service giving rise to the claim in the 3 months preceding the claim.

DAP is not liable for:

  • Indirect, consequential, or loss of profit damages
  • Delays caused by customs authorities, carrier disruptions, or force majeure events
  • Product quality issues originating from the manufacturer where DAP's QC process was not engaged or approved
  • Loss or damage in transit beyond the limits of applicable carrier liability
  • Currency exchange losses on BDT to PKR conversions

Clients are advised to obtain appropriate cargo insurance for high-value shipments. DAP can assist in arranging cargo insurance upon request.

6. Intellectual property

All content on DAP's website - including text, design, graphics, and code - is the property of DAP and protected by applicable intellectual property laws.

Client-provided materials (product photos, descriptions, brand assets) remain the property of the client. By providing them to DAP, you grant us a limited licence to use them solely for delivering your requested services.

DAP's trade name, logo, and brand identity may not be used without prior written consent.

7. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement.

DAP may terminate services immediately, without notice, if a client:

  • Ships prohibited or illegal goods through our network
  • Fails to make payment after reasonable notice
  • Breaches these terms in a manner that cannot be remedied

Upon termination, any outstanding inventory in DAP warehouses will be returned to the client at their cost, or disposed of after 30 days written notice if not collected.

8. Governing law

These terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from these terms or DAP's services will be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

For operational disputes related to Bangladesh or Sri Lanka services, parties agree to attempt good-faith resolution before initiating formal legal proceedings.
